The following are some notable changes related to Decree 70:

The regulation expands the list of entities eligible to use electronic invoices by including foreign suppliers without a permanent establishment in Vietnam. This applies to those conducting e-commerce, digital platform-based businesses, and other services, who voluntarily register to use electronic invoices. These suppliers are required to utilize value-added tax invoices.
Introduction of E-commerce Invoices
Supplementing e-commerce invoices: “An invoice applicable to organisations, enterprises, and individuals (exporters) engaged in exporting goods and providing services abroad where the exporter meets the conditions for electronically transferring commercial invoice data to the tax authority. The e-commerce invoice meets the content requirements as prescribed in Article 10 of this Decree and the regulations on standard data formats of the tax authority as prescribed in Article 12 of this Decree. In case the exporter does not meet the conditions for electronically transferring commercial invoice data to the tax authority, they can choose to issue an electronic value-added invoice or an electronic sales invoice.”
E-commerce invoices are introduced as a new type of invoice for organizations, enterprises, and individuals (exporters) involved in exporting goods and providing services abroad. Exporters must meet the conditions for electronically transferring commercial invoice data to the tax authority. These invoices must comply with the content requirements outlined in Article 10 of this Decree, as well as the standard data format regulations specified in Article 12.
Clarification on the Timing of Invoice Issuance for Exported Goods
For the export of goods (including export processing), the issuance of e-commerce invoices, electronic value-added invoices, or electronic sales invoices is determined by the seller but must be completed no later than the next working day following the date the goods are cleared through customs in accordance with customs regulations.

Household businesses and individual businesses with annual revenue of VND 1 billion or more, as well as enterprises engaged in selling goods and providing services directly to consumers (e.g. shopping malls, supermarkets, retail stores excluding automobiles and motor vehicles, restaurants, food & beverage services, hotels, passenger transport services, road transport support services, entertainment, arts, cinemas, and other personal services as defined in the Vietnam Standard Industrial Classification), are required to use electronic invoices generated from cash registers that are electronically connected and transmit data to the tax authority.
Replacement and adjustment of Electronic Invoice
- The regulation on cancelling incorrectly issued invoices has been abolished.
Sellers may issue a single adjustment invoice to replace multiple incorrect e-invoices issued within the same month to the same buyer. - Before making any adjustments or replacements of incorrect e-invoices, a written agreement detailing the errors must be established between the seller and the buyer. If the buyer is an individual, the seller must either notify them directly or publicly announce the error on their official website
Declaration of invoices
The Decree 70 provides greater flexibility for buyers in the tax declaration process.
Accordingly, the seller is required to declare tax at the time of invoice issuance, while the buyer shall declare tax at the time of receiving the invoice, provided that the invoice is complete and complies with the form and content requirements as stipulated by law.
Decree 70/2025/ND-CP takes effect from 1 June 2025.
Official Letters released
Official Letters are released showing the tax and other authorities’ interpretation and application of the Vietnam Laws, particularly providing guidance in the sectors of transfer pricing and study abroad consulting in Vietnam.
Some significant changes and forecasts on transfer pricing in 2025
On 13 January 2025, the General Department of Taxation (currently known as the Tax Department) issued Official Letter 175/TCT-CNTT regarding training in the use and exploitation of commercial database software and transfer pricing analysis tools.
To meet the need for information exploitation on enterprises for tax management purposes (including inspection, examination, APA negotiation, tax management of enterprises with related transactions, and transfer pricing inspection), the General Department has provided licences for the use and exploitation of commercial databases and transfer pricing analysis tools to various units.
This marks a significant change, as the database was previously identified as belonging to the tax authority and was not disclosed. Now, the agencies have transitioned to using commercial databases in a public and transparent manner. This indicates that, in the near future, tax authorities will place a strong emphasis on transfer pricing, and businesses should take note of this in their operations and activities.
Ho Chi Minh City: Review of Business Registration Certificates for Study Abroad Consulting Services
On 9 April 2025, the Department of Education and Training of HCMC issued Official Letter 1759/SGDĐT-TCCB, concerning the review of business registration certificates for study abroad consulting services in accordance with the provisions of Decree 125/2024/ND-CP.
The Department of Education and Training has identified that 409 organisations have been granted business registration certificates for study abroad consulting services without a specified deadline, from 21 December 2021 to 19 November 2024.
To facilitate the re-issuance of certificates of registration for study abroad consulting services, the Department of Education and Training requests the 409 organisations to review their information by 15 April 2025.
After the deadline of 15 April 2025, if organisations do not submit their reports, the Department of Education and Training will inspect their operational status before issuing new certificates of registration for study abroad consulting services in accordance with the new regulations in Decree 125/2024/ND-CP. Additionally, the Department of Education and Training will address any non-compliance with the content of previously granted certificates.
Furthermore, organisations that were granted certificates of registration for study abroad consulting services by the Department of Education and Training before 21 December 2021 must adhere to the business deadlines specified in their certificates.
